This agreement is between: Dr. Susan LaCombe (Consultant) of S. K. LaCombe Consulting Inc. and you whereby Dr. LaCombe agrees to provide Consultation Services for you (otherwise known in this agreement as the Client).

DESCRIPTION
This Business Consultation is a partnership (defined as an alliance, not a legal business partnership) between the Consultant and the Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential.

RESPONSIBILITIES
You are responsible for creating and implementing your own physical, mental and emotional well-being, decisions, choices, actions and results. As such, you agree that the Dr. LaCombe is not and will not be liable for any actions or inaction, or for any direct or indirect result of any services provided by Dr. LaCombe. You understand that while the services are being provided by a Registered Psychologist, consultation is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

Client agrees to communicate honestly, be open to feedback and assistance and create the time and energy to participate fully in the program.

SERVICES
The parties agree to engage in 2 consultations face to face in online meetings within a 30-day period. Sessions will last 1 hour. Dr. LaCombe will be available to you by e-mail and voicemail in between scheduled meetings as defined by Dr. LaCombe. Dr. LaCombe may also be available for additional time, per client’s request on a prorated basis rate of $397/hour.

SCHEDULE AND FEES
This agreement is valid as of today’s date. The fee charged is per 30-day cycle and is payable immediately.

PROCEDURE
The time of the consultations will be determined by Dr. LaCombe and you based on a mutually agreed upon time. You will meet on these scheduled calls on the platform Doxy.me at Doxy.me/drshrinklady.

CONFIDENTIALITY
This consultation relationship, as well as all information (documented or verbal) that you share with Dr. LaCombe as part of this relationship, is bound to confidentiality. Dr. LaCombe will not disclose your name or any information pertaining to your work without your written consent.

Note: Confidential information does not include information that: (a) was in the Consultant’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Consultant from a third party, without breach of any obligation to the Client; (d) is independently developed by the Consultant without use of or reference to the Client’s confidential information; or (e) that the Consultant is required by law to disclose.

CANCELLATION AND LATENESS POLICY
You agree that it is your responsibility to notify Dr. LaCombe at least 24 hours in advance of the scheduled call/meeting if you cannot make the session. You will forfeit a missed session if you do not turn up or reschedule. Dr. LaCombe will wait for 15 minutes, before you are noted as not turning up for the session.

TERMINATION
You are free to cancel this arrangement at any time. No refund will be issued.

LIMITED LIABILITY
Except as expressly provided in this agreement, the Consultant makes no guarantees or warranties, express or implied. In no event will the Consultant be liable to the Client for consequential or special damages. Notwithstanding any damages that the Client may incur, the Consultant's entire liability under this agreement, and the Client’s exclusive remedy, will be limited to the amount paid by the Client to the Consultant under this agreement for all services rendered up until the termination date.
